Terms and Conditions for Vendors
These Terms and Conditions outline the expectations, obligations, and processes governing the relationship between Industrial Motor Service Inc. and its vendors. By engaging in business with Industrial Motor Service Inc., you agree to the following terms.
Vendor Obligations

Vendors must ensure timely delivery of products and services as agreed upon in purchase orders or contracts.

All goods and services provided must meet the quality standards specified by Industrial Motor Service Inc.

Vendors are responsible for compliance with all applicable laws and regulations, including labor, environmental, and safety standards.
Purchase Orders

All transactions require a formal purchase order issued by Industrial Motor Service Inc.

No goods or services shall be provided without a valid purchase order unless explicitly authorized in writing by Industrial Motor Service Inc.

Changes to purchase orders must be confirmed in writing by Industrial Motor Service Inc.
Pricing and Payment Terms

Pricing: Agreed prices shall remain fixed unless otherwise specified in writing.

Invoices: Vendors must submit invoices within 15 days of product delivery or service completion.

Payment Terms: Payments are made within 30 days of invoice receipt unless otherwise agreed in writing.

Sales and Use Tax: Vendors must request sales tax exemption certification and if they fail to do so, a credit should be issued if invoice has been issued with tax.

Contracts: We do not agree to automatic renewals of contracts. It is the vendor’s responsibility to contact Industrial Motor Service Inc. regarding contract renewals and obtain explicit approval for continuation.
Delivery and Inspection

Vendors must ensure that all deliveries are made to the specified location within the agreed timeframe.

Industrial Motor Service Inc. reserves the right to inspect and reject any goods or services that fail to meet agreed specifications or quality standards.

Rejected items must be replaced or corrected at the vendor’s expense within the agreed-upon timeframe.
Warranties and Guarantees

Vendors guarantee that all goods and services provided are free from defects and meet all agreed specifications.

Vendors shall honor all warranties, including manufacturer warranties, and address warranty claims promptly.
Confidentiality

Vendors must maintain the confidentiality of all proprietary and sensitive information shared during the business relationship.

This obligation remains effective for two years post-termination of the business relationship.
Liability and Indemnification

Vendors shall indemnify and hold Industrial Motor Service Inc. harmless from any claims, damages, or liabilities arising from the vendor’s actions or products.

Vendors are responsible for any damages caused by defective products or services.
Insurance Requirements

Vendors must carry adequate insurance coverage, including general liability, product liability, and workers’ compensation insurance, as applicable.

Proof of insurance must be provided upon request.
Termination

Either party may terminate the agreement with 30 days' written notice, provided all obligations to date are fulfilled.

Industrial Motor Service Inc. reserves the right to terminate immediately in cases of breach of contract or failure to meet agreed standards.
Dispute Resolution

Disputes arising from this agreement will be resolved through mediation in Anderson, SC. If mediation fails, arbitration will be pursued per South Carolina arbitration laws.
Force Majeure

Neither party shall be liable for delays or failures caused by circumstances beyond their control, including natural disasters, strikes, or regulatory restrictions.
Compliance with Health and Safety Standards

Vendors must comply with all relevant health and safety regulations when providing goods or services to Industrial Motor Service Inc.

Industrial Motor Service Inc. reserves the right to audit vendors for compliance.
Restocking Fee

Vendors must issue a Return Goods Authorization (RGA) for all returns.
Subcontractors

Vendors must disclose the use of subcontractors and ensure they meet all contractual and regulatory requirements.

Vendors remain responsible for the actions and performance of subcontractors.
Governing Law

This agreement is governed by the laws of South Carolina without regard to conflict of law principles.
Terms and Conditions of Service and Sales
Thank you for choosing Industrial Motor Service Inc. These Terms and Conditions outline our services, customer obligations, and other essential information governing our business relationship.
Scope of Services
Industrial Motor Service Inc. specializes in the repair, maintenance, and replacement of electrical apparatus for commercial clients. Our services include motor rewinding, diagnostics, predictive maintenance, and more. Any additional services outside this scope will require a signed agreement.
Equipment Pickup, Evaluation, and Repair Approval

Free Pickup and Evaluation: We offer complimentary equipment pickup and assessment for commercial customers engaging in regular business with us. Regular business is defined as a minimum of $5,000 per quarter.

Repair Approval:

Price-Before-Repair (PBR) Customers: Repairs will only commence upon your explicit approval. A detailed cost estimate will be provided for your decision.

Standard Repair Customers: Repairs or replacements will proceed based on our professional judgment unless otherwise instructed. By opting for Standard Repair, you authorize us to “run it through” and complete necessary repairs without prior approval.

Ownership of Stored Equipment: All equipment awaiting customer approval will be stored at our facility. If approval for repairs or removal is not received within 60 days, Industrial Motor Service Inc. will assume ownership of the equipment, including entitlement to any scrap materials. Approved repairs imply consent for scrapping original units unless otherwise stated.
Repair Timelines and Expedited Service

Standard Repair Timeline: Repairs are typically completed within 10-12 business days unless the equipment requires special handling or parts.

Expedited Service: For urgent needs, we offer complimentary labor-only expediting. Additional costs for expedited parts or materials are the customer’s responsibility. Emergency parts delivery is guaranteed only via courier; we cannot promise same-day or next-day service through UPS, FedEx, etc.
Free Delivery and Pickup
We offer free pickup and delivery services (not including shipping) within our service area using our company trucks. This service is available to regular commercial customers as defined in Section 2.
Pricing and Payment Terms

Pricing: Service fees are based on the repair scope and will be provided in a formal quote. Quotes are valid for 30 days unless otherwise stated. New equipment quotes are typically valid for 30 days but at the manufacturers discretion, if there is a price increase we must pass this onto the customer.

Emergency Repairs Without Purchase Orders: Customers must designate an Emergency Approval Contact who can approve emergency repairs without a purchase order. The client agrees to pay for these services.

Payment Terms: Payment is due within 30 days of the invoice date. Late payments are subject to a 2% monthly interest fee. Accepted payment methods include bank transfers, checks, and other agreed methods.
Warranties and Guarantees

Labor Warranty: We provide a 90-day warranty on labor post-service completion.

Parts Warranty: Parts used in repairs carry the manufacturer’s warranty, and Industrial Motor Service Inc. will facilitate claims during the warranty period.

Exclusions: Warranty coverage excludes damage resulting from customer negligence, misuse, or external factors.

Free Evaluation: We offer free evaluations to diagnose the cause of failure and provide customers a repair estimate or replacement quote. If the customer decides to pick up the unit and not move forward with a repair or replacement, the unit will be returned disassembled. For reassembly, the customer will be charged $125 as this is our standard labor rate.
Liability and Indemnification

Downtime Liability: Industrial Motor Service Inc. is not liable for customer downtime or damages to other machines or equipment caused by failures.

Limitations: Our liability is limited to the cost of the repair service rendered.

Indemnification: Customers agree to indemnify Industrial Motor Service Inc. against third-party claims related to equipment misuse after repair.
Confidentiality
Both parties agree to maintain confidentiality regarding proprietary information shared during the service relationship, including technical specifications, pricing, and operational details. This obligation remains effective for two years post-service completion.
Intellectual Property Rights
All intellectual property developed by Industrial Motor Service Inc. remains our property unless otherwise agreed in writing.
Termination
Either party may terminate this agreement with 30 days' notice, provided all obligations to date are fulfilled. Early termination fees may apply.

Insurance
Industrial Motor Service Inc. carries liability insurance covering our operations. Subcontractors are required to maintain adequate insurance coverage. Clients may request insurance verification as part of the service agreement.
After-Hours Opening Fee
An opening fee applies to most new equipment orders requested after 4:30 PM. Customers must agree to this fee in advance.
Restocking Fee
Returned new equipment is subject to a 25% restocking fee plus shipping. A Return Goods Authorization (RGA) is required for all returns.
